END USER LICENSE AGREEMENT

IMPORTANT - READ CAREFULLY:

This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity) and KIMERA AUDIO LLC ("Licensor") for the LUSH VERB software product identified above, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation ("Software").

BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT INSTALL OR USE THE SOFTWARE.

1. GRANT OF LICENSE

Licensor grants you a non-exclusive, non-transferable license to use the Software on computers owned or controlled by you, subject to the terms and conditions of this Agreement.

2. RESTRICTIONS

You may not copy, modify, distribute, sell, or transfer the Software or any portion thereof. You may not reverse engineer, decompile, or disassemble the Software.

3. OWNERSHIP

The Software is licensed, not sold. Licensor retains all right, title, and interest in and to the Software.

4. TERMINATION

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms.

5. WARRANTY DISCLAIMER

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

LICENSOR DOES NOT WARRANT THAT:

The Software will meet your requirements or expectations

The Software will be compatible with your computer system, operating system, or Digital Audio Workstation (DAW)

The operation of the Software will be uninterrupted or error-free

All defects in the Software will be corrected

The Software will be compatible with third-party plugins or hardware

You acknowledge that:

You have reviewed the system requirements before purchase

Compatibility with your specific system configuration is not guaranteed

Audio plugin performance may vary based on your computer's specifications, operating system version, DAW software, and other installed plugins

You assume all risk associated with the use of the Software

LICENSOR SHALL HAVE NO LIABILITY FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM, LOSS OF DATA, OR ANY OTHER DAMAGE RESULTING FROM YOUR USE OF THE SOFTWARE.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to you. This warranty gives you specific legal rights, and you may also have other rights which vary by jurisdiction.

6. LIMITATION OF LIABILITY

IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SOFTWARE.
